Measures on the Standard Contract for Outbound Transfer of Personal Information

Measures on the Standard Contract for the Outbound Transfer of Personal Information

Cyberspace Administration of China · 国家互联网信息办公室令第13号

The most widely used of the three outbound routes: execute the standard contract with the offshore recipient strictly in the form annexed to the Measures (Art. 6 requires the annexed template to be followed and its core clauses not to be altered), run a personal information protection impact assessment before the transfer, and file with the provincial cyberspace authority within ten working days of the contract taking effect. The filing is a post-execution notification rather than a prior approval, but provincial or higher authorities may summon the processor for an interview and require remediation where they identify significant risk or an incident.

Does this apply to me?

It applies where all four conditions in Art. 4 are met: (1) the exporter is not a CIIO; (2) it processes the personal information of fewer than 1 million individuals; (3) it has cumulatively transferred abroad the personal information of fewer than 100,000 individuals since 1 January of the preceding year; and (4) it has cumulatively transferred abroad the sensitive personal information of fewer than 10,000 individuals over the same period. Limbs (3) and (4) are restated by Art. 8 of the Cross-border Data Flow Provisions as “at least 100,000 but fewer than 1 million individuals’ personal information (excluding sensitive data), or fewer than 10,000 individuals’ sensitive personal information, counted cumulatively from 1 January of the current year”, and that formulation governs. These Measures cover outbound transfers of personal information only (Art. 2); important data always goes through the security assessment. Typical business actions: a China SaaS syncing customer contacts into an offshore CRM; a cross-border retailer passing Chinese consumers’ order data to overseas warehouses and payment providers; an outbound app using offshore analytics and push services; and reporting Chinese employees’ HR records into an offshore group HR system where the pure HR-management exemption does not apply.

Application timeline

  1. 2023-06-01

    Measures enter into force

The eligibility conditions (Art. 4), the impact assessment (Art. 5), the requirement to use the annexed template and to wait for the contract to take effect before transferring (Art. 6), filing within ten working days of the contract taking effect (Art. 7), and the re-assessment, re-execution and re-filing triggers (Art. 8) begin to apply; transfers already under way had six months to remediate (Art. 13).

  2. 2024-03-22

Cross-border Data Flow Provisions reset the applicable band

A non-CIIO that has cumulatively transferred, since 1 January of the current year, the personal information of at least 100,000 but fewer than 1 million individuals (excluding sensitive data), or the sensitive personal information of fewer than 10,000 individuals, must either execute the standard contract or obtain certification.

Obligations (4)

Each states its trigger, the evidence to retain and the clause it comes from

Confirm all four conditions for using the standard-contract route

Severity Critical第四条;《促进和规范数据跨境流动规定》第七条、第八条

Before settling on the standard-contract route, confirm in writing that all four conditions in Art. 4 are met: not a CIIO; processing the personal information of fewer than 1 million individuals; cumulative outbound transfers of fewer than 100,000 individuals’ personal information; and cumulative outbound transfers of fewer than 10,000 individuals’ sensitive personal information. Failing any one of them forces the security-assessment route, and retrofitting is expensive. Volumes are counted cumulatively from 1 January of the current year under Arts. 7 and 8 of CAC Order No. 16, which supersede the “since 1 January of the preceding year” wording in Art. 4 of these Measures. Separately confirm that the export contains no important data: important data must go through the security assessment (Art. 37 of the Network Data Security Management Regulations). That is not one of the four Art. 4 conditions, but it must be ruled out before the route is chosen.

Applies when
Every processor intending to use the standard contract for an outbound transfer of personal information.
Evidence to retain
  • · Route-selection memo setting out the conclusion and basis for each of the four Art. 4 conditions
  • · Statement on CIIO status, recording whether a designation notice was received
  • · Counts of individuals processed and cumulatively transferred, with the counting methodology
  • · Important-data determination showing the export contains no important data

Estimated first-time effort: 3–10 person-days (estimate, not a commitment)

Run a standard-contract-specific personal information protection impact assessment

Severity High第五条;《个人信息保护法》第五十五条、第五十六条

Before the transfer, run a personal information protection impact assessment focused on the matters enumerated in Art. 5 of the Measures, produced together with the assessment required by PIPL Arts. 55–56. The report is filed alongside the standard contract and is the principal document examined in any subsequent supervisory check.

Applies when
Every company using the standard-contract route. The assessment must address the data-protection legal environment of the recipient’s jurisdiction, which is the section most often written too thinly.
Evidence to retain
  • · Outbound transfer impact assessment report including an analysis of the recipient jurisdiction’s legal environment
  • · Field-level inventory of the personal information transferred, with a minimisation and necessity justification
  • · Due-diligence pack on the recipient’s security capability
  • · Risk-mitigation measures arising from the assessment, with evidence of implementation

Estimated first-time effort: 8–20 person-days (estimate, not a commitment)

Execute the standard contract strictly on the annexed template

Severity Critical第六条

Art. 6 §1 requires the standard contract to be executed strictly in the form annexed to the Measures; §2 allows the parties to add other terms provided they do not conflict with the standard clauses; and §3 provides that the outbound transfer may only begin once the standard contract has taken effect. The CAC may adjust the annex, so confirm you are using the current version before signing. Note the sequencing in §3: sign, let the contract take effect, then transfer, then file within ten working days — the contract cannot be papered over while data is already moving.

Applies when
The Chinese processor entering into the agreement. Offshore recipients frequently propose substituting their own DPA or the EU SCCs, which is not accepted under PRC law.
Evidence to retain
  • · Executed standard contract including the signature pages and annexes
  • · Note on the provenance of the template version used and the version check performed
  • · Schedule of supplementary terms and a legal opinion that they do not conflict with the standard clauses
  • · Evidence of the offshore recipient’s internal signing authority

Estimated first-time effort: 5–15 person-days (estimate, not a commitment)

File within ten working days and re-assess and re-file on a trigger

Severity High第七条、第八条

File with the provincial cyberspace authority within ten working days of the standard contract taking effect, submitting the contract and the impact assessment report among other materials. Where any circumstance listed in Art. 8 arises during the term, re-run the impact assessment, supplement or re-execute the standard contract, and complete the corresponding filing.

Applies when
Every company that has executed a standard contract. The most common re-filing triggers in practice are adding a transfer purpose or data category, changing the offshore recipient, and a change in the legal environment of the recipient’s jurisdiction.
Deadline: Filing within ten working days of the standard contract taking effect.
Evidence to retain
  • · Filing receipt or system submission record from the provincial authority, with the submission timestamp
  • · Archived filing pack (standard contract plus impact assessment report)
  • · Timeline record comparing the contract effective date with the filing date to evidence the ten-working-day window
  • · Trigger determinations and execution records for re-assessment and re-filing

Estimated first-time effort: 3–10 person-days (estimate, not a commitment)

Penalties

Art. 12: breaches are handled under the Personal Information Protection Law and related rules, with criminal liability where a crime is constituted. Transferring personal information abroad without executing or filing the standard contract is therefore dealt with under PIPL Art. 66 (up to RMB 1 million in ordinary cases, and up to RMB 50 million or 5% of the prior year’s turnover in serious cases). Art. 11: provincial or higher authorities may summon the processor for an interview and require remediation where they identify significant risk or a personal-data incident.

Known uncertainty

Art. 4 states the volume conditions in its own terms, and Art. 6 allows the CAC to adjust the annexed template. What was retrieved in this round is the operative text on cac.gov.cn; the annexed template itself was not extracted verbatim. Threshold analysis should follow Art. 8 of the Cross-border Data Flow Provisions, which state in Art. 13 that they prevail where inconsistent, and the template version should be confirmed as current before signing.
