SEC climate-related disclosure rules (stalled and proposed for rescission)

The Enhancement and Standardization of Climate-Related Disclosures for Investors

U.S. Securities and Exchange Commission · 89 FR 21668;89 FR 25804;91 FR 33296

The climate-related disclosure rules the SEC adopted in 2024 would have required registrants to provide climate-related information in registration statements and annual reports. They never took effect: on 2024-04-12 the SEC announced that the effective date is delayed indefinitely pending the consolidated Eighth Circuit review, and on 2026-06-03 the SEC published a proposal to rescind them, with comments closing 2026-08-03. In client-facing materials and deliverables the rules must therefore be described as adopted but not in force and proposed for rescission, never as a live mandatory disclosure obligation.

Does this apply to me?

The relevance to Chinese AI companies runs through two concrete acts: (1) when preparing registration statements and annual reports for a U.S. IPO or an existing U.S. listing, the climate disclosure section should not be built on these rules, although general materiality-based disclosure duties and requirements in other jurisdictions such as the EU and California state climate legislation still need assessment; and (2) when completing ESG questionnaires for U.S. enterprise customers or diligence materials for investors, the rules must not be described as a current U.S. mandate, which would misstate the position to customers and investors. The purpose of this entry in the corpus is to stop an incorrect conclusion from spreading, not to impose a new duty.

Obligations (2)

Each states its trigger, the evidence to retain and the clause it comes from

Track the actual status of the rule and do not prepare disclosure as if it were in force

Severity Medium89 FR 21668;89 FR 25804;91 FR 33296

The SEC published the final climate-related disclosure rules in the Federal Register on 2024-03-28 (89 FR 21668), originally effective 2024-05-28. On 2024-04-12 it announced (89 FR 25804) that the effective date is delayed indefinitely pending completion of the consolidated Eighth Circuit review, with a further Federal Register notification to follow. On 2026-06-03 the SEC published a proposed rule (91 FR 33296) to rescind those climate-related disclosure rules, with comments due 2026-08-03. No final rescission rule was observed as of 2026-09-12. Companies listed or listing in the United States should therefore not prepare disclosure as though the rules were in force, but equally should not infer that no other climate disclosure obligations apply.

Applies when
Chinese AI companies planning a U.S. IPO or already listed there, and the teams preparing their ESG reporting.
Evidence to retain
  • · Status tracking register recording Federal Register citations and the date checked
  • · Statement of the status assumptions underlying the disclosure preparation plan
  • · Confirmation records with auditors and counsel
  • · Comparison table of climate disclosure duties in other jurisdictions, to avoid generalizing from the U.S. status

Estimated first-time effort: 1–4 person-days (estimate, not a commitment)

Retain greenhouse gas and climate data capability for other disclosure demands

Severity Low

Even while the federal rule is stalled, climate data capability retains commercial value: supply chain questionnaires from U.S. enterprise customers, investor diligence and mandatory regimes in other jurisdictions all draw on the same underlying data. Retain the emissions accounting boundary, activity data collection processes and data quality controls rather than suspending the build-out as the rule status changes. This item is practical guidance and does not assert a current SEC mandate.

Applies when
Chinese AI companies planning a U.S. listing or serving U.S. enterprise customers.
Evidence to retain
  • · Emissions accounting boundary and methodology documentation
  • · Activity data collection workflow and data quality control records
  • · History of responses to customer supply chain questionnaires
  • · Internal allocation of responsibility for climate data governance

Estimated first-time effort: 5–20 person-days (estimate, not a commitment)

Penalties

The rules are not in force, so no penalties arise under them.

Known uncertainty

This entry rests on metadata verification of three Federal Register documents (89 FR 21668, 89 FR 25804 and 91 FR 33296). The current status of the consolidated Eighth Circuit proceedings and the disposition of the rescission proposal after the comment period were not verified in this pass. The eventual outcome, whether formal rescission, partial retention or revived implementation, may still change, so the SEC and Federal Register should be re-searched before any client deliverable.
